Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between you and Joji Inc., a Delaware corporation (“Joji,” “we,” “us,” or “our”). They govern your use of the Joji mobile application, our website, and related services (together, the “Services”).

Please read these Terms carefully. They include important provisions that affect your legal rights, including a disclaimer of warranties in Section 16, a limitation of liability in Section 17, and an agreement to resolve disputes by individual arbitration and to waive class actions in Section 19.

1. Accepting These Terms

1.1 You accept these Terms by checking the acceptance box when you create your account. If you do not agree to these Terms, do not create an account and do not use the Services.

1.2 We keep a record of the version of these Terms you accepted and the date you accepted it.

1.3 Our Privacy Policy, available at jojihealth.com/privacy, is incorporated into these Terms by reference and describes how we handle information.

2. Who May Use the Services

2.1 You must be at least 18 years old to create a Joji account. The Services are not offered to anyone under 18, and minors may not create or independently use accounts.

2.2 A parent or legal guardian who is at least 18 may create and manage a profile for a child within their own account, subject to Section 9.

2.3 You represent that you have the legal capacity to enter into these Terms, that you are not barred from using the Services under applicable law, and that all information you provide about yourself is accurate.

2.4 The Services are intended for use in the United States. We make no representation that the Services are appropriate or available elsewhere.

3. What Joji Does

3.1 Joji helps you organize health information. Depending on the features you use, Joji may store records and documents you add, import records from health systems you connect, generate summaries and plain language explanations, produce reminders and follow up tasks, transcribe and summarize visits you record, and allow you to share information with family members and caregivers you invite.

3.2 The Services are provided for informational and organizational purposes only.

4. Joji Is Not a Healthcare Provider and Does Not Provide Medical Advice

4.1 Joji is a technology service. Joji is not a healthcare provider, is not a medical device, and does not practice medicine. Nothing in the Services constitutes medical advice, diagnosis, treatment, clinical decision support, a second opinion, or a professional recommendation of any kind.

4.2 No provider patient relationship, and no relationship of any professional or fiduciary character, is created between you and Joji by your use of the Services.

4.3 Content generated by the Services, including summaries, transcripts, explanations, suggested questions, medication lists, reminders, and recovery tasks, may be inaccurate, incomplete, outdated, or inapplicable to your circumstances. We do not review, verify, or validate the accuracy of any information in the Services, whether you provided it, a health system provided it, or the Services generated it.

4.4 You are solely responsible for all decisions you make about your health and the health of anyone whose information you manage. Always seek the advice of a qualified healthcare professional with any question about a medical condition, symptom, medication, or treatment. Never disregard professional medical advice, or delay seeking it, because of anything you read or received in the Services.

4.5 Joji is not an emergency service and does not monitor your information for urgent conditions. If you think you may have a medical emergency, call 911 or seek emergency medical help immediately.

4.6 Joji is not a medical record. The records maintained by your clinicians and health systems remain the authoritative source of your health information. Information in Joji may differ from those records, and you should not rely on Joji as a substitute for them.

5. Your Account

5.1 You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

5.2 Notify us promptly at hello@jojihealth.com if you believe your account has been accessed without authorization.

5.3 You may not transfer or sell your account, or allow anyone else to use it. Sharing with family members and caregivers is available through the sharing features described in Section 9.

6. Your Content

6.1 “Content” means everything you add to the Services, including records, documents, photographs, scans, notes, recordings, transcripts, messages, and information about other people that you provide.

6.2 You retain all rights in your Content. These Terms do not transfer ownership of your Content to us.

6.3 You grant us a non exclusive, worldwide, royalty free license to host, store, reproduce, process, transmit, adapt, and display your Content solely to operate, maintain, secure, and improve the Services, to provide the features you use, and to share it as you direct. This license ends when you delete the Content or your account, subject to Sections 6.4 and 15.4.

6.4 We may create de-identified and aggregated information from Content, using methods consistent with the standard described in our Privacy Policy. De-identified and aggregated information is not subject to the license limits in Section 6.3, and our rights in it survive deletion of your Content and termination of your account.

6.5 You represent and warrant that you own or have all rights necessary to provide your Content, and that your Content does not violate any law or infringe or misappropriate the rights of any person.

6.6 We do not monitor Content, but we may review, remove, or restrict Content that we reasonably believe violates these Terms or applicable law.

7. Acceptable Use

7.1 You agree not to:

  • use the Services for any unlawful purpose, or in violation of any applicable law or regulation;
  • upload or share information about another person without the permission or legal authority to do so;
  • impersonate any person, or misrepresent your identity or affiliation;
  • interfere with, disrupt, overload, or attempt to gain unauthorized access to the Services or any related systems;
  • probe, scan, or test the vulnerability of the Services, or breach any security or authentication measure;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except where that restriction is prohibited by law;
  • use any automated means to access, scrape, or extract data from the Services;
  • copy, modify, distribute, sell, license, or create derivative works of the Services;
  • use the Services to develop a competing product, or to train a machine learning model;
  • remove or obscure any proprietary notice; or
  • use the Services in any manner that could disable, overburden, damage, or impair them, or interfere with anyone else’s use.

8. Visit Recording

8.1 The Services include a feature that allows you to record a medical visit and generate a transcript and summary. You control when recording starts and stops.

8.2 Recording laws vary by state. Some states require the consent of every participant in a conversation before it may be recorded. Recording without required consent may be unlawful and may expose you to civil or criminal liability.

8.3 You are solely responsible for complying with all laws applicable to your recordings. Before recording, you must obtain any consent required by law from every person present, and you must stop or refrain from recording if anyone objects or if the facility prohibits recording. The recording screen displays a reminder to ask permission before you begin.

8.4 You represent and warrant that, for each recording you make using the Services, you have obtained all consents required by applicable law.

8.5 Joji is not a participant in your visit, does not obtain consent on your behalf, and has no ability to verify whether consent was obtained. We make no representation that recording is lawful in your circumstances.

8.6 Transcripts and summaries are generated automatically and may contain errors, omissions, and misattributions. They are not a medical record and are not a substitute for the documentation your clinician creates.

8.7 You agree to indemnify Joji in accordance with Section 18 for any claim arising from a recording you make, including any claim that a recording was made without required consent.

9. Care Circle, Family Profiles, and Information About Other People

9.1 The Services allow you to invite others into a care circle, to manage a profile for a family member, and to share information with people you choose.

9.2 You represent and warrant that you have the permission of each person, or the legal authority to act on their behalf, before you add, view, manage, or share information about them, including a child for whom you are a parent or legal guardian.

9.3 You are responsible for the permissions you grant, for keeping them current, and for removing access when it is no longer appropriate.

9.4 Joji does not verify relationships, permissions, guardianship, or legal authority, and has no obligation to do so.

9.5 You agree to indemnify Joji in accordance with Section 18 for any claim arising from information you add about another person, or from access you grant to another person.

10. Connected Services

10.1 The Services allow you to connect third party sources, including electronic health record systems and patient portals, in order to import records. We use a third party health record aggregation service to enable those connections.

10.2 We do not control third party sources and are not responsible for their availability, accuracy, completeness, timeliness, or security. Records may be incomplete, delayed, out of date, or incorrect.

10.3 Your use of a third party service is governed by that party’s terms and privacy policy.

10.4 We may modify, suspend, or discontinue any integration at any time, including because a third party changes or terminates its interface.

11. Artificial Intelligence and Beta Features

11.1 The Services use artificial intelligence to generate summaries, explanations, transcripts, suggested questions, tasks, and similar output. AI generated output is probabilistic. It may be incorrect, incomplete, or misleading, and it may omit material information present in the underlying source. Section 4 applies fully to all AI generated output.

11.2 We may offer features identified as beta, preview, early access, or experimental (“Beta Features”). Beta Features are provided for evaluation, may be changed or withdrawn at any time, may contain defects, and may not perform as described. Beta Features are provided AS IS without warranty of any kind, and our liability for Beta Features is limited to the maximum extent permitted by law.

12. Your Responsibility to Keep Your Own Copies

12.1 Joji is not a system of record and is not a backup service. We do not guarantee that Content will be retained, preserved, or recoverable.

12.2 You are responsible for maintaining independent copies of any health information that matters to you. The Services include an export tool, and you should use it regularly. Do not rely on the Services as your only copy of any document, record, or information.

13. Fees

13.1 The Services are currently offered at no charge.

13.2 We may introduce fees for the Services or for particular features in the future. If we do, we will give you notice before the fees apply to you, and you may decline by discontinuing use of the affected feature or closing your account.

13.3 If you purchase a subscription or paid feature through a mobile app store, that store bills you under its own terms, and you manage renewals and cancellations through your app store account.

14. Changes to the Services

14.1 We may add, modify, suspend, or discontinue any part of the Services, including any feature, at any time and without liability to you.

14.2 Where a change materially reduces functionality you rely on, we will use reasonable efforts to give you advance notice and an opportunity to export your Content.

15. Termination

15.1 You may stop using the Services and delete your account at any time from within the app.

15.2 We may suspend or terminate your account if you materially breach these Terms, if we are required to by law, if your use creates a security or legal risk, or if we discontinue the Services.

15.3 Except where immediate termination is required by law, where your account presents a security risk, or where your conduct involves fraud or harm to others, we will give you at least 30 days after notice of termination to export your Content before we delete it.

15.4 Deletion of your account is handled as described in our Privacy Policy. Sections 4, 6.4, 6.5, 8.7, 9.5, 12, and 16 through 22 survive termination.

16. Disclaimer of Warranties

16.1 THE SERVICES AND ALL CONTENT AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.

16.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOJI DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

16.3 WITHOUT LIMITING THE FOREGOING, JOJI DOES NOT WARRANT THAT: THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICES OR ANY OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE; THAT ANY CONTENT WILL BE PRESERVED, STORED, OR RECOVERABLE, OR WILL BE FREE FROM LOSS, DELETION, CORRUPTION, ALTERATION, OR UNAUTHORIZED ACCESS; OR THAT SUMMARIES, TRANSCRIPTS, REMINDERS, OR OTHER GENERATED OUTPUT WILL BE ACCURATE OR COMPLETE.

16.4 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM JOJI OR THROUGH THE SERVICES, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

16.5 Some jurisdictions do not allow the exclusion of certain warranties, so some of the exclusions above may not apply to you. In that case, such warranties are limited to the minimum duration and scope permitted by law.

17. Limitation of Liability

17.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOJI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT JOJI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF JOJI ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO JOJI FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

17.3 These limitations apply to all claims in the aggregate, and they apply even if a limited remedy fails of its essential purpose.

17.4 Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, or of liability for death or personal injury, so some of the limitations above may not apply to you.

17.5 You acknowledge that the disclaimers in Section 16 and the limitations in this Section 17 are an essential basis of the agreement between you and Joji, and that Joji would not provide the Services without them.

18. Indemnification

18.1 You agree to indemnify, defend, and hold harmless Joji and its officers, directors, employees, contractors, and agents from and against any claim, demand, loss, liability, damage, cost, and expense, including reasonable attorneys’ fees, arising out of or relating to:

  • your Content;
  • your use or misuse of the Services;
  • any recording you make using the Services, including any claim that a recording was made without required consent;
  • information you add about another person, or access you grant to another person;
  • your violation of these Terms; or
  • your violation of any law or of the rights of any person.

18.2 We will notify you of any claim subject to indemnification and may, at our option, assume the exclusive defense and control of the matter at your expense. You will not settle any claim in a manner that imposes any obligation on Joji without our prior written consent.

19. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND JOJI TO RESOLVE DISPUTES BY INDIVIDUAL ARBITRATION AND LIMITS THE WAY YOU CAN SEEK RELIEF. IT AFFECTS YOUR RIGHT TO GO TO COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

19.1 Your right to opt out

You may opt out of this Section 19 by sending written notice to hello@jojihealth.com within 30 days after you first accept these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other part of these Terms, and it will not affect your use of the Services in any way.

19.2 Scope

Except as provided in Sections 19.1, 19.6, and 19.7, you and Joji agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including their formation, interpretation, breach, termination, or validity, will be resolved by binding individual arbitration.

19.3 Informal resolution first

Before initiating arbitration, you and Joji agree to attempt to resolve the dispute informally. The party raising the dispute will send a written notice describing it and the relief sought to the other party, to hello@jojihealth.com or to the address in Section 23. If the dispute is not resolved within 60 days after the notice is received, either party may begin arbitration. This informal process is a condition precedent to arbitration, and any limitations period is tolled while it runs.

19.4 Arbitration procedure

Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs the interpretation and enforcement of this Section 19. The arbitrator will be a single neutral arbitrator, will have exclusive authority to resolve the dispute, and may award the same relief a court could award to that individual claimant. Arbitration will take place in the county where you reside, or by telephone or video conference, or by written submission, at your election. Payment of filing, administration, and arbitrator fees will be governed by the AAA rules, and Joji will pay any fees that those rules allocate to it.

19.5 Class action waiver

YOU AND JOJI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. YOU AND JOJI EACH WAIVE ANY RIGHT TO A JURY TRIAL.

19.6 Coordinated filings

If 25 or more substantially similar arbitration demands are filed against Joji by or with the assistance of the same counsel or coordinated group, the demands will be administered in sequential batches of no more than 50 at a time. The parties will select 10 demands from the first batch to proceed as bellwether arbitrations, and the results will be used to attempt to resolve the remaining demands. Any limitations period is tolled for demands awaiting their batch. If the AAA is unable or unwilling to administer this procedure, the parties will select another administrator that will, or the dispute will proceed in court under Section 19.7.

19.7 Exceptions

Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or other equitable relief in court to protect intellectual property rights or to address unauthorized access to the Services. Nothing in this Section 19 prevents you from reporting a matter to a government agency.

19.8 Severability

If any part of this Section 19 is found unenforceable, that part will be severed and the remainder will continue in effect, except that if Section 19.5 is found unenforceable as to a particular claim or request for relief, then that claim or request will proceed in court under Section 20 and all other claims will remain in arbitration.

20. Governing Law and Venue

20.1 These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles, except that the Federal Arbitration Act governs Section 19.

20.2 For any dispute not subject to arbitration, you and Joji consent to the exclusive jurisdiction and venue of the state and federal courts located in Kings County, New York, and waive any objection based on inconvenient forum.

20.3 Nothing in this Section limits any non waivable right you may have under the laws of your state of residence.

21. Changes to These Terms

21.1 We may update these Terms. If we make a material change, we will give you notice in the app or by email before it takes effect, and we will identify the effective date.

21.2 If you continue to use the Services after the effective date of an updated version, you accept it. If you do not agree, stop using the Services and delete your account.

21.3 A change to Section 19 will not apply to any dispute for which notice under Section 19.3 was given before the change took effect.

22. General

22.1 Entire agreement. These Terms, together with the Privacy Policy and any additional terms you accept for a specific feature, are the entire agreement between you and Joji regarding the Services and supersede any prior understanding.

22.2 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.

22.3 No waiver. Our failure to enforce a provision is not a waiver of it.

22.4 Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, financing, or sale of assets.

22.5 No third party beneficiaries. These Terms create no rights in anyone other than you and Joji.

22.6 Force majeure. Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control.

22.7 Notices. We may give notice by email to the address associated with your account, or by posting in the Services. You may give notice to us at the address in Section 23.

22.8 Relationship. These Terms do not create a partnership, joint venture, employment, or agency relationship.

22.9 Apple and Google. If you download the app from a mobile app store, you acknowledge that these Terms are between you and Joji only, not the store; that the store has no obligation to furnish maintenance or support; and that the store is a third party beneficiary of these Terms with the right to enforce them against you.

22.10 Headings. Section headings are for convenience only and do not affect interpretation.
